1. Acceptance of Terms of Use
Welcome to the YourCare web experience available at https://yourcare.health and any related YourCare web applications(s) or web-based portals (collectively, the “Portal”). These Terms of Use (the “Terms”) form a legal agreement between you (“you” or the “User”) and WELLSTAR Technologies Corp. (“WELLSTAR”, “we”, “us” or “our”) and govern your access to and use of the Portal and any related services made available through the Portal (the “Services”).
These Terms apply to your use of the Portal. If you download or use the YourCare mobile application, your use of the mobile application is governed by the applicable end-user license agreement and/or terms presented in connection with the app (the “App EULA”), and these Terms do not replace the App EULA.
By accessing or using the Portal, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease accessing or using the Portal and the Services.
2. Eligibility; Use on Behalf of Others
By using the Portal, you represent and warrant that you are the age of majority in your province or territory of residence. If you are not the age of majority, you must not access or use the Portal unless your parent or legal guardian uses it on your behalf.
If you use the Portal on behalf of another person (including a minor or dependent), you represent and warrant that you have authority to do so, and references to “you” and “your” in these Terms include that person.
3. Changes to the Portal and These Terms
We may modify the Portal, the Services, or these Terms from time to time. Changes are effective when posted on the Portal. Your continued use of the Portal after changes are posted constitutes your acceptance of the updated Terms.
4. Your Account and Security
Certain features of the Portal may require you to create or use an account. You are responsible for safeguarding your login credentials and, despite any other provision in these Terms, you are responsible for all activities conducted through your account, whether performed by you or by any other person. You must notify us promptly of any suspected unauthorized access to or use of your account by contacting support@yourcare.health.
5. Purpose of the Portal; No Medical Advice
The Portal is intended to support administrative and informational functions (such as appointment coordination and related communications) made available by clinics and healthcare providers that participate in YourCare (“Providers”). The Portal does not provide medical advice, diagnosis, or treatment and is not a substitute for professional medical care.
Do not use the Portal for emergencies. If you believe you are experiencing a medical emergency, call 911 (or your local emergency number) immediately.
6. Security and Acceptable Use
You must not tamper with or compromise any aspect of the Portal or attempt to circumvent, destroy, or subvert any security measure associated with the Portal. You must use the Portal only for lawful purposes and in accordance with these Terms.
Without limitation, you must not, and must not authorize or encourage others to:
(a) attempt to breach or bypass authentication or security measures, or access another user’s account or data without authorization;
(b) interfere with or disrupt the Portal or its servers/networks (including via denial-of-service attacks) or introduce viruses, malware, or other harmful code;
(c) use the Portal for any unlawful or inappropriate purpose;
(d) remove or alter any proprietary symbol or notice, including any copyright notice, trademark, or logo displayed in connection with the Portal;
(e) decompile, disassemble, reverse engineer, or otherwise attempt to derive source code from any software or technology underlying the Portal, except to the extent permitted by applicable law; or
(f) use any automated means (including bots, spiders, or scrapers) to access the Portal except as expressly permitted by us in writing.
7. Intellectual Property
The Portal and all content and materials made available through it (including software, code, text, graphics, images, and logos) are owned by WELLSTAR and/or its licensors and are protected by copyright, trademark, and other laws protecting intellectual property rights.
Subject to your compliance with these Terms, WELLSTAR grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Portal solely for your personal use and solely for the purpose of using the Services. Except as expressly permitted by these Terms, you do not have a licence to copy, distribute, republish, transmit, or otherwise exploit any part of the Portal or its content, and WELLSTAR and its licensors expressly reserve all intellectual property rights in and to the Portal and its content.
8. Third-Party Websites and Services
The Portal may contain links to third-party websites or services. These links are provided for convenience only. We do not control and are not responsible for third-party websites or services, their content, or their privacy practices. Your use of third-party websites or services may be subject to their own terms and policies.
9. Privacy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at https://yourcare.health/privacy-policy.
10. Disclaimer of Warranties
THE PORTAL AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLSTAR DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WELLSTAR DOES NOT REPRESENT OR WARRANT THAT: (A) THE PORTAL WILL BE AVAILABLE; (B) YOUR USE OF THE PORTAL WILL BE TIMELY, UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) ANY CONTENT OR INFORMATION MADE AVAILABLE THROUGH THE PORTAL IS ACCURATE, RELIABLE, OR COMPLETE; (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (E) THE PORTAL WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL WELLSTAR BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER LOSS, CLAIM, INJURY, OR DAMAGE, WHETHER FORESEEABLE OR UNFORESEEABLE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE PORTAL OR SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
WITHOUT LIMITING THE FOREGOING, WELLSTAR WILL NOT BE LIABLE FOR DAMAGES OR LOSSES RELATING TO: (A) LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES; (B) LOSS, CORRUPTION, OR DELETION OF DATA, PROGRAMS, OR INFORMATION; (C) ERRORS, DEFECTS, OR DELAYS; OR (D) INTERRUPTIONS OR UNAVAILABILITY OF THE PORTAL OR SERVICES.
THIS LIMITATION APPLIES EVEN IF WELLSTAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, CLAIM, INJURY, OR DAMAGE.
12. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless WELLSTAR and its affiliates, and each of their respective directors, officers, employees, contractors, agents, and licensors, from and against any and all claims, demands, causes of action, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your access to or use of the Portal or Services; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.
13. Suspension and Termination
We may suspend or terminate your access to the Portal or Services at any time, in whole or in part, if we reasonably believe it is necessary for security, to comply with law, or if you violate these Terms.
14. Governing Law
These Terms and your use of the Portal are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, and you submit to the exclusive jurisdiction of the courts located in British Columbia.
15. General
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
Waiver. No waiver of any provision of these Terms will be effective unless in writing, and no waiver will be deemed a further or continuing waiver of that provision or any other provision.
Entire Agreement. These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and WELLSTAR regarding your access to and use of the Portal and supersede all prior or contemporaneous communications regarding the Portal. For clarity, use of the YourCare mobile application is governed by the App EULA.
